Terms of Service (AGB)
Last updated: 18 October 2026
1. Prevailing language
This English translation is provided for convenience only. In case of discrepancies, the German version (AGB) prevails.
2. Scope
These terms of service apply to all contracts for the use of the "Vispra" service between Mario Fahlandt, sole proprietor (address see About us Impressum, hereinafter the "Provider") and customers who are entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB). The offer is directed exclusively at entrepreneurs; by placing an order, the customer confirms that they are acting in the exercise of their commercial or independent professional activity.
Deviating terms and conditions of the customer do not apply, even if the Provider does not expressly object to their application.
3. Subject matter of the contract
The Provider operates a software-as-a-service offering for AI visibility and readiness monitoring. The service regularly checks whether and how AI assistants (e.g. ChatGPT, Perplexity, Gemini) mention the customer's website and business, and produces reports with recommendations for action. The scope of services depends on the booked plan:
- Solo (EUR 25 per month): 1 domain, monitoring against ChatGPT, Perplexity and Gemini, monthly PDF report in German, visibility score and trend, 3 recommendations per month.
- Pro (EUR 89 per month): 3 domains, all Solo features with weekly monitoring, competitor comparison (up to 3 competitors), AI readiness module (monthly re-audit, llms.txt generator, drift alerts), prioritized recommendation list.
- Agency (EUR 179 per month): 10 domains, all Pro features per domain, white-label reports, CSV export.
The free AI readiness audit is a non-binding service that can be repeated once per domain every 30 days and does not establish a subscription relationship.
4. Conclusion of the contract
The contract is concluded when the customer selects a plan on the website, completes the payment process via the payment service provider Stripe (Stripe Checkout), and the Provider confirms the order by email or provides access to the customer area.
5. Prices and payment
All prices are final prices; pursuant to Section 19 of the German VAT Act (UStG), no VAT is charged (small business regulation). Billing takes place monthly in advance via the payment service provider Stripe (Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Dublin 2, Ireland). Invoices and payment receipts are provided via Stripe and can be accessed in the customer area.
The Provider announces price changes at least six weeks before they take effect, by email. If the customer does not agree with the change, they may terminate the subscription at the end of the current billing period; the price change only applies from the following billing period.
6. Term and termination
The subscription runs for an indefinite period with monthly billing periods. The customer may terminate at any time with effect from the end of the current billing period, conveniently via the customer portal (Stripe Billing Portal) in the customer area. Fees already paid for the current billing period are not refunded. The right to extraordinary termination for good cause remains unaffected.
7. Availability
The Provider strives for reasonable availability of the service (best effort), but does not owe any specific availability or service level agreement. Maintenance work, updates and disruptions at subcontractors or queried third-party systems may lead to temporary limitations. Planned maintenance windows are scheduled outside usual business hours where possible.
8. Customer obligations
The customer ensures that the domains they provide are correct and that they are authorized to commission audits and monitoring for these domains. The customer does not infringe any third-party rights through the use of the service and keeps their contact details (in particular the email address for reports and invoices) up to date.
9. Rights of use in reports
The customer receives a simple, perpetual right of use in the reports created for them, for internal purposes and their own business purposes (e.g. passing them on to their own clients in the Agency plan within the scope of the white-label feature). Reselling the reports as a standalone product or making substantial parts of them publicly available requires the Provider's prior consent.
10. Particularities of AI measurement results
The measurement and audit results are snapshots of the AI systems queried at the time of the query. These third-party systems (e.g. from OpenAI, Perplexity, Google) may change their answers, models and procedures at any time and without notice. The Provider does not guarantee that implementing the recommendations will lead to specific mentions, placements, rankings or revenues. The reports do not constitute legal, tax or investment advice.
11. Liability
The Provider is liable without limitation for intent and gross negligence, for damages arising from injury to life, body or health, and under the German Product Liability Act. In cases of slight negligence, the Provider is liable only for breaches of essential contractual obligations (cardinal obligations), i.e. obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely; in this case, liability is limited to the foreseeable damage typical for this type of contract. Liability for lost profits, indirect damages and consequential damages is excluded in cases of slight negligence. Liability for data loss is, to the extent legally permissible, limited to the effort that would be required for recovery if the customer had performed proper and regular data backups.
The reports are automatically generated analyses without warranty as to completeness or accuracy; they do not constitute legal or SEO advice.
12. Data protection
Information on the processing of personal data can be found in our privacy policy.
13. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Hof (Saale), provided the customer is a merchant, a legal entity under public law or a special fund under public law.
Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
